32-bit OSes can address up to 4 GB of memory. This 4 GB includes things such as RAM, Video RAM, and other things. The "3 GB" you're talking about is an estimate of RAM addressable after taking everything out. Sometimes, people can access up to 3.5 GB of RAM on 32-bit OSes.

What games do you play? I currently have the following games installed and running on Windows 7 (64-bit):

World of Warcraft
Age of Conan (DirectX 10 version)
City of Heroes/Villains
Red Alert 3
Command & Conquer 3

I doubt I would have any problems with other games either. It runs anything I throw at it including old games when I bought when my son was a toddler 15 years ago. Often times there is a performance increase. My computer isn't state of the art (dual-core 2.6 GHZ AMD processor, 6 GB RAM, 320 GB drive, NVIDIA 8600 GT w 512 MB) but I would say there is a 25-30% performance increase in my games over Vista 32-bit.

Doesnt Matter.

Just buying 4GB ram and get someone to fit it when i receive it.

CoD4
CoDWaW
CSS
CS 1.6
Soldier Front (sfront.ijji.com)

Probably about as much as its going to cost you to upgrade from 32-bit Vista to 64-bit Vista.

You can be pretty sure there is an upgrade fee. Especially considering its been more than 2 years since Vista was released and will be close to three years when Windows 7 is sold to the public. The only way you'll get a free upgrade is if you buy a new computer with Windows Vista after they start the Windows 7 version assurance program.

If you want free upgrades on your OS, switch to Linux.
