What is the full error printed on the upgrade screen? I am guessing it says either your PHP version doesn't meet the requirements OR you have something incorrect in your config.php file. And, I am guessing that the config.php file is where the problem lays. Did you create a new config.php file for the upgrade? Did you copy all the old information into is *exactly*? And did you use a plain text editor such as notepad++ to edit it?
