32-bit OSes can address up to 4 GB of memory. This 4 GB includes things such as RAM, Video RAM, and other things. The "3 GB" you're talking about is an estimate of RAM addressable after taking everything out. Sometimes, people can access up to 3.5 GB of RAM on 32-bit OSes.

Win 32bit can only use 3GB of Ram....
although you may see it shows it can see 4gb, it will only use 3gb.
As far as upgrading to 64 bit I would suggest it to anyone who multi task's, I have updated all of my systems to 64 bit and there is a very good performance gain to be had.

and to add to this, windows 7 will not be released until the 4th quarter of this year at best... most likely 2010 q1
