im guessing you want to password protect the admin panel for extra security?
if so then stick it in the admin folder then in the htaccess file u need to put in the absolute server path to point to the admin folder or whatever folder you are trying to protect
In many cases is actually exists, make sure that you can view hidden files in you ftp software.

the job of the .htaccess files is to train Apache to behave in a certain way - it applies to the directory in which it is placed, as well as all sub-directories, unless they have their own .htaccess
