when having a vb5 licence does it include a 2nd instance of a VB4
one vb5 installation and one vb4 installation?

A vBulletin 5 license automatically includes access to the older versions of the software. So yes.
However if you want to install vBulletin 4 on domainx.com and vBulletin 5 on domainy.com then I believe you need to buy 2 separate licenses.
