Did you copy all the vB5 files and made sure there are no vB4 files in there?

Yes. First, i create backup of /htdocs directory and delete all files in www root dir , then i upload all vb5 files to /htdocs/ (www server root dir) then start update script /install/update.php

Did you have vB4 plugins installed? Try uninstalling them before upgrading. They will not work in vB5 anyway.

In /admincp -> vbulletin CMS -> Permissions i found this:
Cannot proceed as no CMS root node could be found.
This is a fatal error that should never occur unless your node table is broken or corrupted. You may need to reinstall the CMS.
May be it helps to answer..

I tried to delete all third-party things(languages, styles, products and so on) then i download new package of 4.2.3 from member area and overwrite all files. Then i run /install/upgrade.php and it complete succesffuly. I hope it solve my problem. After that i try to update to 5.2.5 but receive same error/

on C:\xampp\htdocs\core\vb\library\content.php : 2295
The path is not correct. Why don't you have the vB5 root folder in htdocs?
C:\xampp\htdocs\this-should-be-the-vb-root-folder\core\vb\library\content.php

I'm afraid it doesnt quite work like that. :erm:
There is no magic wand we can wave to just "resolve" something.
This is not the correct forum for such issues anyway, for support on installing or upgrading, you should be using vbulletin.com.
