FTP the files to the new server.. go into your hosting cpanel and create a database then go to phpmyadmin and import the database to it.. edit the config.php file to match the database.
if the database is too large and it times out then ask your host to do it with SSH..

Thing is still not solved. The process u told me is to shift website from one server to another server.
But my question is , i want to upload my old files on and want it to work with new domain.

If you have cpanel then you could have the new domain as an addon domain, that way you leave all your files where they are.

Oh no , you are not getting my point.
I was having a domain suppose xyz.com on which forum was installed and running , but due to some problem that domain got expired and i left that hosting and domain both but took backup of files and Database.
Now i am planning to install same DB and files on new hosting and new domain. what is the procedure for that.
I hope u got my point.

If you have the backup file like you said, then upload the files from public_html folder in the backup file to the new hosting accounts public_html folder, then create a database in your hostings cpanel and import the old database backup into that using phpmyadmin or get your host to do it if it's too big..
edit the file config.php inside the includes directory of vbulletin to match the settings from the new database..
basically the same as my first reply.
And don't forget to change the url in members.vbulletin.com to the new domain.

If i am not wrong this is not the way to Change domain on old Database and files.
Vbulletin need some kind of Editing to change domain from xyz.com to abc.com , if the forum was live i know how to change it from xyz.com to abc.com but as the forum is not live neither i have that domain so i dont know how to make it abc.com from xyz.com data backup
you are telling me about loading the backup on same domain instead telling me the procedure to change domain name.
