Create a direcotry name forum of course. Upload the files and install? Don't forget to create a db and add a user wit full permissions ?

ok, in terms of copying and pasting the files over, that i' m fine with, once i create the data base and user, should i just create it with the same info as on the server before.
For vbulleting and vbseo do i need to change the license over to the new URL?
is it as simple as i'm thinking this is?
I understand i can let google know about my address change after, not that i'm getting any traffic from them, but our site is still spidered adn i don't want google to thing our new site is a duplicate.

you don't need to really worry about vbulletin, you "should" update your license to reflect the new URL, but it's the same parent URL, so it isn't going to break your site.
vbseo however, you need to update your license with the new URL, or the product won't work.
As for moving the site, you don't need to dl or upload anything, you can simply right click on your current forum folder, and move it to the new location.
You'll need to change your URL in admincp > vboptions > general settings, to show your new URL.
